Welcome to the SparePart.pk Vendor Network. By registering as a seller on our platform, you agree to the following terms and conditions. These rules are designed to ensure a secure, high quality, and frictionless experience for buyers, while providing you with a scalable digital infrastructure to grow your business nationwide.

1. The Role of SparePart.pk

SparePart.pk operates strictly as a multi-vendor marketplace and technology facilitator. We provide the digital infrastructure, marketing, and secure payment gateways to connect independent sellers with buyers across Pakistan.

• No Ownership: SparePart.pk does not own, manufacture, or inspect the physical inventory listed by sellers.
• Liability: The contract of sale is strictly between the Buyer and the Seller. SparePart.pk is not legally liable for product defects, damages, or injuries caused by items purchased through our
  platform.

2. Account Registration & Vetting

To maintain the highest quality standards, all vendor accounts are subject to manual approval.

• Sellers must provide accurate business details, including a valid CNIC, active bank account details in the registered business or owner's name, and an accurate physical business address.
• SparePart.pk reserves the right to reject any application or suspend any approved account without prior notice if fraudulent activity or misrepresentation is suspected.

3. Product Listings & Quality Standards

As a verified seller, you are entirely responsible for the accuracy of your
digital storefront.

• Prohibited Items: The sale of counterfeit parts, stolen goods, hazardous materials not approved for standard shipping, or misrepresented brands is strictly prohibited.
• Accuracy: You must provide clear, high-quality images and accurate descriptions. If a part is aftermarket or used, it must be explicitly stated. Selling a used part as "100% Original New" will result in an immediate permanent ban.
• Inventory Management: Sellers must keep digital stock levels updated daily. Repeated cancellation of orders due to "out of stock" items will result in financial penalties and account suspension.

4. Commissions, Fees, and Payouts

SparePart.pk operates on a performance-based model. We only succeed when you succeed.

• Commissions: SparePart.pk deducts a pre-agreed percentage commission from the total sale price of every successfully delivered order. This commission covers marketing, platform hosting, and technology fees.
• Payout Schedule: Vendor payouts are processed automatically to your registered bank account on a strictly regulated schedule, only after the buyer has successfully received the order and the return window has closed.
• Payment Holds: SparePart.pk reserves the right to hold funds if a buyer opens a legitimate dispute regarding a defective or missing part.

5. Order Fulfillment & Shipping

Speed and reliability are our core promises to the buyer.

• Dispatch Time: Sellers must pack and hand over the order to the designated courier partner within 24 to 48 hours of receiving the order notification.
• Packaging: All spare parts must be securely packaged to prevent damage during transit. The seller is financially responsible for any items damaged in transit due to poor or negligent
  packaging.

6. Returns, Refunds, and Disputes

To maintain consumer trust, all sellers must adhere to the SparePart.pk Buyer Protection policy.

• If a buyer receives a defective, broken, or incorrect part, the seller is obligated to accept the return and issue a replacement or authorize a refund.
• Return shipping costs for defective or incorrect items will be deducted from the seller's account.
• SparePart.pk acts as the final mediator in any dispute between a buyer and a seller. Our decision regarding refunds is final and binding.

7. Termination & Offboarding

SparePart.pk maintains a strict quality filter to protect our brand and our buyers. We reserve the right to instantly terminate your seller account, withhold pending payouts to cover refunds, and permanently ban you from the platform for:

• Selling counterfeit or unauthorized items.
• Repeated late shipments or high order cancellation rates.
• Attempting to bypass the platform to complete a sale directly with a buyer.
• Abusive or unprofessional behavior toward customers or SparePart.pk staff.

8. Governing Law

These terms and conditions shall be governed by and constructed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Lahore, Punjab.

By submitting your vendor registration application, you acknowledge that you have read, understood, and agreed to be bound by all the terms outlined in this document.
